Creative Guild General Terms of Service

前文（Preamble）

日本語（正本）
本規約は、一般社団法人 Creative Guild（以下「当法人」といいます）の定款およびその目的に基づき制定されたものであり、定款の定めに反しない範囲で、本法人が提供するサービスの利用関係に適用されます。

These Terms have been established in accordance with the Articles of Incorporation and the objectives of the Creative Guild General Incorporated Association (“the Association”).
They apply to the use of services provided by the Association, within the scope not inconsistent with its Articles of Incorporation.

第1条　総則（Purpose and Scope）

  1. 本規約は、当法人が提供する一切のサービス（ウェブサイト、アプリ、オンラインプラットフォーム、コミュニティ、イベント、出版、教育、研究開発、AIツール等。以下「本サービス」といいます）の利用条件を定めるものです。
  2. ユーザーが①本サービスに初めてアクセスして機能を利用した時点、または②登録手続を完了した時点のいずれか早い時点で、本規約に同意したものとみなします。

  1. These Terms define the conditions for all services provided by the Association, including websites, apps, online platforms, communities, events, publications, education, research, and AI tools (“the Services”).
  2. A User is deemed to have agreed at the earlier of: (i) first accessing or using any function of the Services, or (ii) completing registration.

第2条　アカウント・資格（Accounts & Eligibility）

  1. 登録情報は真実かつ正確であること。法人利用の場合も本規約が適用されます。
  2. 未成年は親権者等の同意を要し、同意がない場合、当法人は解除できます。
  3. 法人アカウント管理者は、当該法人を拘束する権限を有することを表明保証します。
  4. 企業アカウントの権限設定・共同利用に関する内部管理はユーザー（法人）の責任とし、権限超過による行為は当該ユーザーの責に帰します。
  5. 同意管理：当法人は、ユーザーの同意状況を確認できる範囲で記録・管理に努めます。

Accurate information must be provided. These Terms apply equally to individuals and corporations.
Minors require parental consent; corporate administrators warrant their authority.
Internal governance for account permissions lies with the organization.
The Association endeavors to record and manage user consent status where practicable.

第3条　ユーザーの責任（User Responsibility）

  1. ユーザーは自己の責任で本サービスを利用します。
  2. AIを含む出力の正確性・完全性・有用性について、当法人は保証しません。
  3. 外部連携を含む利用上の最終判断はユーザーが行います。

Users use the Services at their own responsibility.
The Association makes no warranties as to the accuracy, completeness, or usefulness of AI-generated content.
Final decisions are the user’s responsibility.

第4条　AIおよびデータの活用（AI & Data Use）

  1. 当法人は、ユーザーが入力・生成・提供したデータを、AI学習・分析・機能改善、当法人の活動（研究開発・運営・品質向上等）目的で利用します。
  2. 個人を特定できる形での外部公開は行わず、匿名化・統計化等で取り扱います。
  3. 本サービスは外部API等の多様なAI技術を利用することがあります（第4条の2参照）。
  4. 収集データは、当法人の他サービスへも解析等の形で応用される場合があります。
  5. プライバシー / DPA / 共同利用 / 越境移転：当法人は、別途定めるプライバシーポリシーおよび適用ある場合のデータ処理契約（DPA）に従い、利用目的、保管期間、委託先管理、第三者提供、権利行使手続を明示します。
    　当法人の関連団体、委託先、又は提携パートナー（制作・研究・出版・運営支援目的）との共同利用を行う場合があります。その際の共同利用者の範囲・目的・管理責任者等はプライバシーポリシーに明示します。
    　EEA等からの越境移転は標準契約条項（SCCs）等の適法根拠に基づきます。
    　個人データのセキュリティインシデントが判明した場合、法令に従い遅滞なく通知します（監督当局への通知が必要な場合、GDPRに従い72時間以内を目安とします）。
    　利用目的の達成後、法令及び運営上の必要に応じて、個人データを適切に削除又は匿名化します。
  6. クッキーおよび同等技術：本サービスは、利便性向上や利用状況の把握のために、クッキーその他の同等技術を利用する場合があります。利用を望まない場合、ユーザーはブラウザの設定により無効化できます。

The Association may use user-provided or generated data for AI learning, analysis, and service improvement.
No identifiable data will be disclosed; data may be anonymized or aggregated.
The Services may use external APIs. Data may be reused within related services.
Privacy handling follows the Privacy Policy and applicable Data Processing Agreements (DPA).
Joint use may occur with related entities or partners for research, production, or operational support.
Cross-border transfers rely on SCCs or other lawful bases.
Security incidents will be notified without undue delay (72h guideline when required under GDPR).
After fulfilling the purpose, personal data will be deleted or anonymized as appropriate.
Cookies or similar technologies may be used for convenience or analytics. Users may disable them in browser settings.

第4条の2　第三者サービスの利用（Third-Party Services）

  1. 本サービスは、Slack、Airtable、各種AI API等の第三者サービスと連携することがあります。
  2. ユーザーは、当該第三者の利用規約・ポリシーが適用されることに同意し、これに違反しないものとします。
  3. 当法人は、第三者サービスの障害・変更・停止等に起因する不具合について、故意または重過失がある場合を除き責任を負いません。

The Services may integrate with third-party platforms (e.g., Slack, Airtable, AI APIs).
Users accept applicable third-party terms.
The Association is not liable for failures or issues caused by such services absent intent or gross negligence.

第5条　禁止事項・反社会的勢力排除（Prohibited Acts / Anti-Social Forces）

  1. 不正アクセス、権利侵害、誹謗中傷、差別・脅迫・嫌がらせ、わいせつ・暴力・残虐その他社会的に不適切な投稿、AI出力の悪用（虚偽拡散等）、運営妨害、法令・公序良俗・社会的倫理に反する行為を禁止します。
  2. ユーザーは、自己が反社会的勢力に該当せず関与もないことを表明保証します。該当・関与が判明した場合、当法人は催告なく解除でき、当法人に生じた損害の賠償を請求できます。

Users shall not engage in illegal, abusive, or unethical acts, nor misuse AI outputs.
Users represent and warrant no involvement with anti-social forces; breach permits immediate termination and damages.

第6条　知的財産・人格権・フィードバック（IP / Moral Rights / Feedback）

日本語

  1. 本サービスに関する知的財産権は当法人または正当権利者に帰属します。
  2. ユーザーの投稿・生成コンテンツの著作権は原則としてユーザーに帰属します。ただし、当法人は活動・広報・研究開発・AI学習の目的で必要な範囲において、当該コンテンツを複製・公衆送信・編集・翻案・翻訳・要約・二次利用することを無償・非独占で許諾し、許諾範囲で著作者人格権を行使しないことに同意します。
  3. ユーザーが提供する提案・コメントその他フィードバックは、当法人が無償・非独占・期間・地域無制限で利用できるものとします。
  4. AIが自動生成したコンテンツの著作権帰属が法令上不明確な場合は当法人に帰属します。ただし、ユーザーが創作的寄与を行った成果はユーザーに帰属します。
  5. 第三者の権利侵害に関する申立てを受領した場合、当法人は通知・一時停止・削除等の適切な措置を講じます。申立て窓口は当法人ウェブサイトに定めます。

All intellectual property related to the Services belongs to the Association or rightful owners.
User content remains with the User, but the Association has a royalty-free, non-exclusive license to use, modify, or adapt it for operational, promotional, or research purposes; moral rights will not be exercised within this scope.
Feedback may be used freely.
AI-generated works of unclear ownership belong to the Association, unless the User made a creative contribution.
A notice-and-takedown process applies to third-party claims.

第6条の2　オープンソース（Open Source Software）

本サービスはOSSを含み得ます。適用ライセンス条件は本サービス上で合理的に提示します。

Services may include OSS; applicable licenses will be reasonably displayed.

第7条　変更・停止（Modification / Suspension）

日本語

  1. 当法人は、やむを得ない事由を除き、合理的な予告期間を設け、当法人ウェブサイトまたはメール等適切な方法で通知のうえ、本サービスの内容を変更・一時停止・終了できます。
  2. 重大な影響が見込まれる場合、可能な限り事前に通知します（不可抗力等は除く）。
  3. 自動更新・解約期日が設定される個別サービスがある場合は、各サービスの個別条件に明記します。

The Association may modify, suspend, or terminate the Services with reasonable notice, except in unavoidable cases.
Significant changes will be notified where feasible.
Auto-renewal terms, if any, appear in service-specific terms.

第8条　免責（Disclaimer）

日本語
本サービス（ベータ・試験提供を含む）およびAI出力は現状有姿で提供されます。
当法人は故意または重過失がある場合を除き、これらに起因または関連してユーザーに生じた損害について責任を負いません。

The Services (including beta/trial) and AI outputs are provided “as is.”
The Association bears no liability for damages unless caused by intent or gross negligence.

第9条　責任制限（Limitation of Liability）

日本語

  1. 法人ユーザーとの契約に関して、当法人の責任総額は、当該事由発生日を基準とする直近12か月にユーザーが支払った対価の総額を上限とします。
  2. 消費者契約法上の消費者に対しては、この責任制限のうち同法に反する部分は適用しません。

For corporate users, liability is capped at total fees paid in the preceding 12 months.
Consumer protections prevail under the Consumer Contract Act.

第9条の2　ベータ・試験提供（Beta / Experimental Features）

日本語
ベータ・試験機能は可用性・精度・継続性を保証しません。データ消失等のリスクを含み、当法人は故意または重過失がある場合を除き責任を負いません。試験提供に該当する機能には、UI上で「ベータ／実験」等の表示を行います。

Beta or experimental features have no guarantee of accuracy or continuity.
The Association is not liable for related losses absent intent or gross negligence.
Such features are labeled “Beta/Experimental” in the UI.

第9条の3　セキュリティインシデント対応（Security Incidents）

日本語
個人データを含むセキュリティ事故が発生・判明した場合、当法人は法令に従い遅滞なく影響範囲・対応策・再発防止策を通知し、ユーザーは合理的範囲で協力します。通知方法は当法人ウェブサイト掲示又は登録メールアドレス宛送信とし、ユーザーの連絡窓口（組織名・担当者・メール）は常に最新に保つものとします。

If a security incident involving personal data occurs, the Association will promptly notify users via website or registered email and provide mitigation information.
Users must keep contact information current.

第10条　取引および個別契約（Transactions & Individual Agreements）

日本語

  1. 取引・委託・共同研究・出版・制作・イベント運営等は個別契約に基づきます。
  2. 本規約と個別契約が抵触する場合、個別契約が優先します。
  3. 個別契約に基づかない取引やユーザー間取引について、当法人は責任を負いません。
  4. 個別契約が締結されない場合、当法人は取引を拒否・中止できます。
  5. Creative Guild 名称・ロゴ・コンテンツの対外利用には事前書面承認が必要です。
  6. 税・手数料：価格の税込／税別、決済手数料・為替差損等の負担は各サービス又は個別契約で定めます。

Transactions (e.g., research, publishing, production) require separate agreements, which prevail over these Terms.
No responsibility for user-to-user dealings.
Prior written approval is required for external use of Creative Guild name, logo, or content.
Taxes and fees are defined in each service’s terms.

第10条の2　機密保持（Confidentiality）

日本語
ユーザーは、本サービスに関連して知り得た当法人の非公知情報を第三者に開示・漏えいしてはなりません（法令による開示義務を除く）。

Users must not disclose non-public information obtained through the Services, except where required by law.

第10条の3　補償（Indemnification）

日本語
ユーザーが本規約違反により当法人に損害（第三者請求を含む）を生じさせた場合、ユーザーは合理的範囲でこれを補償します（当法人の故意・重過失による部分を除く）。

English (reference)
Users shall indemnify the Association for reasonable losses arising from their breach, excluding cases caused by the Association’s intent or gross negligence.

第10条の4　コミュニティ・イベント特則（Community & Events）

日本語

  1. 当法人は、安全確保と場の健全性のため、入退場管理・警告・退場等の措置を講じることができます。
  2. ユーザーは、イベントにおける写真・映像・音声の記録および当法人による広報・記録目的での利用に同意します。不同意の場合はイベント開始前までに所定フォーム又はスタッフへ申出るものとし、当法人は合理的範囲で識別措置（リストバンド・座席・後処理）を講じます。
  3. モデレーション措置への異議申立手続を設け、当法人は合理的期間内に回答します。
  4. 返金・中途解約：有償イベント／講座のキャンセル・返金は各募集要項・個別契約の定めに従います。オンライン販売に関する特定商取引法表示は当法人ウェブサイトに掲示します。

The Association may take reasonable measures (entry control, warnings, removal) to ensure safety and integrity of events.
Users consent to being photographed or recorded for publicity purposes unless they opt out before the event via form or staff request, in which case reasonable mitigation will be applied.
Users may object to moderation decisions; the Association will respond within a reasonable timeframe.
Refund and cancellation policies follow individual terms. Disclosures under the Act on Specified Commercial Transactions are posted online.

第10条の5　通知（Notices）

日本語
当法人からユーザーへの通知は、①サービス内掲示、②登録メール送信、③当法人ウェブサイト掲示の順に行い、いずれかの到達時に効力を生じます。

Notices take effect upon posting in-service, sending to registered email, or publishing on the website, whichever occurs first.

第10条の6　一般条項（General Provisions）

日本語

  1. 不可抗力：天災地変、疫病、停電・通信障害、法令改正、戦争・テロ、第三者サービス重大障害等により履行遅延または不能となった場合、当事者は責任を負いません。
  2. 輸出管理・制裁：ユーザーは、外国為替及び外国貿易法、米国OFAC等の制裁・輸出管理に違反する態様で本サービスを利用しません。
  3. 譲渡禁止：ユーザーは、当法人の事前同意なく、本規約上の地位・権利義務を譲渡または担保に供することができません。
  4. 存続：秘密保持、知財、補償、責任制限、準拠法・管轄および一般条項は契約終了後も存続します。
  5. 完全合意：本規約は完全な合意を構成し、従前の合意に優先します。
  6. 分離可能性：本規約の一部が無効であっても、残部は継続して有効とします。
  7. 不放棄：当法人が権利を行使しない場合でも、その権利を放棄するものではありません。

Force majeure; export-control compliance; no assignment without consent; survival of key clauses; entire agreement; severability; and no waiver of rights.

第11条　準拠法および管轄（Governing Law & Jurisdiction）

日本語

  1. 本規約は日本法に準拠します。
  2. 法人ユーザーとの紛争は東京地方裁判所を第一審の専属的合意管轄裁判所とします。
  3. 消費者契約に該当する場合は、ユーザー住所地の裁判所を管轄とします。

These Terms are governed by Japanese law.
Disputes with business users fall under the exclusive jurisdiction of the Tokyo District Court.
Consumer contracts are subject to the court of the user’s domicile.

付則（Supplementary Provisions）

日本語

  1. 適用開始日：2025年10月6日。
  2. 改定：当法人は運営上の必要等により予告なく本規約を改定できます。改定は当法人ウェブサイト又はメールその他適切な方法で通知・公表された時点で効力を生じます。
  3. 継続利用：ユーザーが改定後も本サービスを利用した場合、改定に同意したものとみなします。
  4. 言語効力：本規約の日本語版を正本とし、英語版は参考訳とします。英語ページには “Reference only – Japanese controls.” と記載します。

Effective date: 6 Oct 2025.
The Association may amend these Terms without prior notice.
Amendments take effect upon publication on the website or by email.
Continued use constitutes acceptance.
The Japanese version prevails; the English version is for reference only.
